User Agreement and Terms and Conditions

Electronic payment law: By law, New York City property owners with an annual tax liability of $300,000 or more are required to pay property taxes by electronic funds transfer ("EFT").

Payment Service Description:  The Payment Service is an Internet-based service provided to you by third parties on behalf of us that allows you to make payments of amounts you owe to us. This agreement implements a monthly option that we are offering on a voluntary basis. To do this, the third party vendors ("Money Transmission Vendors") have contracted with others to provide money transmission services as part of the Payment Service. You authorize us to instruct one or more of the Money Transmission Vendors to debit your account and forward your payment to us subject to the terms of these Terms and Conditions. You agree to use the Payment Service only for bona fide and lawful purposes.

 THESE TERMS AND CONDITIONS GOVERN YOUR USE OF THIS WEBSITE AND THE TAX PAYMENT SERVICE. PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY.

General Information:  These terms and conditions, as amended from time to time (collectively, the "Terms and Conditions"), govern your use of this website (the "website"). Conditions and such use is evidence that you have read, understand, accept, and agree to the terms of these Terms and Conditions.

Security Notice:  This is an official website of the City of New York. Any unauthorized attempts to defeat or circumvent security features, to use the website for other than intended purposes, to deny service to authorized users, to access, obtain, alter, damage, or destroy information, or otherwise to interfere with the website or its operation is prohibited.

Definitions:  In this Agreement, "you" and "your" refer to the user of this website. The words "we," "our" and "us" refer to the Department of Finance of the City of New York. "Account" refers to the checking or savings account you designate as the payment account for the Payment Service (as described below). "Financial Institution" refers to the bank that holds or issues your Account.

Disclaimers:  We disclaim, for ourselves and our vendors, service providers, licensors or agents all warranties, either express or implied or statutory, including, but not limited to, any implied warranties of merchantability or fitness for a particular purpose. In no event shall we or any of our vendors, service providers, licensors or agents be liable for (a) errors caused by you, including but not limited to, incorrect or incomplete Account information, or (b) any and all damages, including indirect, special, incidental or consequential damages, including, but not limited to, damages for lost profits, disclosure of confidential information, or loss of privacy, arising out of or in any way related to the use of this website or the use of the Payment Service to the fullest extent permitted by applicable law. These Terms and Conditions do not create any contractual relationship of any kind among any of our vendors, service providers, licensors, agents and you. Accordingly, in no event will any of our vendors, service providers, licensors, agents be liable to you under any circumstances with respect to the Payment Service. In addition, in no event will we or any of our vendors, service providers, licensors, agents be liable for any act or omission of any third party, including, but not limited to, your Financial Institution, any payment system, or any provider of telecommunications services, Internet access or computer equipment or software, or for any circumstances beyond their control, including, but not limited to, fire, flood or other natural disaster, war, riot, strike, act of terrorism, act of civil or military authority, equipment failure, computer virus, or failure or interruption of electrical, telecommunications or other utility services. Neither we nor our vendors service providers, licensors, agents are liable for delays caused by the mails or any payment or clearing house system. NEITHER WE NOR OUR THIRD PARTY PROVIDERS, AGENTS, LICENSORS OR AGENTS SHALL HAVE ANY LIABILITY FOR ANY INCIDENTAL, CONSEQUENTIAL, INDIRECT, SPECIAL OR OTHER DAMAGES SUFFERED BY YOU OR ANY OTHER PARTY (REGARDLESS OF WHETHER OR NOT SUCH PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES)RESULTING FROM THE USE OR THE INABILITY TO USE THE PAYMENT SERVICE.

Indemnification by You:  You shall indemnify and hold us and any of our service providers, information providers, licensors, employees, distributors or agents from and against any and all claims, demands, actions, causes of action, suits, proceedings, losses, damages, costs, and expenses, including reasonable attorneys fees ("Claims"), arising from or relating to your use of the Payment Service, or any act, error, or omission of yours or any of your Accounts in connection therewith, including, but not limited to, matters relating to incorrect, incomplete, or misleading information; libel; invasion of privacy; infringement or misappropriation of a copyright, trade name, trademark, service mark, trade secret, patent, or other intellectual property; any defective product or any injury or damage to person or property caused by any products sold or otherwise distributed through or in connection with the Service; or violation of any applicable law. Your indemnification obligations hereunder shall not apply in the event and to the extent that such Claims are caused by our gross negligence or willful misconduct.

Privacy of Information:  You acknowledge that we will receive certain information about you when you use the Payment Service. We will not rent, sell, or otherwise make available to any third party any information that identifies you or payments you make through the Payment Service, other than to provide the Payment Service or comply with applicable law, rule, or regulation. Security:  To process your payment securely, we use Secure Sockets Layer (or SSL), a security protocol that provides data encryption, server authentication, and message integrity for connections to the Internet, to ensure that the account numbers and personal data you provide by using this website are not transmitted over the Internet unencrypted and cannot be viewed by unauthorized individuals. Although we work hard to keep this website secure, transferring information over the Internet cannot be guaranteed to be 100% secure.

You agree to use the Payment Service only for bona fide and lawful purposes.

Limits on Use:  You must be of legal age to use the Payment Service on our website. Payments must be made in U.S. dollars and are limited to domestic (United States) accounts and federal wire transfers. You agree not to use the Payment Service in an amount that will exceed the funds available in your Account. If you do, we have no obligation to complete the transaction and you agree that we may authorize our third party provider to debit your Account for any returned item fee or other similar fee. Your use of the Payment Service also may be limited by your agreement with your Financial Institution and by applicable law. We are not responsible for not completing a transaction as a result of any such limitation on your Account, and neither of us are responsible if your Financial Institution fails to honor any debit against your Account. At its sole discretion, our third party provider(s) may refuse to complete any transaction which it has reason to believe is not made by you, may violate any law, rule or regulation, or if said third party provider has reasonable cause not to honor it. You agree to comply with all applicable laws, rules and regulations in connection with the Payment Service.

Communications/Verifications:  Communications to us via this website shall in no way be deemed to constitute legal or official notice to the City of New York, its agencies, officers, employees, representatives, or agents with respect to any existing, pending, or future claim or cause of action against the City of New York or any of its agencies, officers, employees, representatives or agents where notice is required by Federal, State, or local law. Nor shall communications to the City of New York via this website be deemed to constitute legal or official notice for any other purpose.

 We ask all website users to use appropriate names and language in the name spaces, address spaces and other spaces (if any) provided on the website. Users are prohibited from using false email addresses. We do not endorse the viewpoints or vouch for the accuracy or authenticity of electronic data or information available via the Internet.

Links:  Our website contains links to Internet sites created and maintained by third parties. We do not have control over such third-party sites, and therefore are not responsible for the content of any such third-party sites or the content of any site linked to such third-party site. Governing Law:  THIS AGREEMENT SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF NEW YORK, WITHOUT GIVING EFFECT TO THE CONFLICT OF LAW RULES OF SUCH STATE.

Jurisdiction:  You agree to consent to the personal jurisdiction of any New York State or federal court sitting in New York City in any suit, action, or proceeding seeking to enforce any provision of, or based on any matter arising out of or in connection with these Terms and Conditions or your use of the website or the Payment Service, so long as such court shall have subject matter jurisdiction over such suit, action, or proceeding. You further agree that any cause of action arising out of these Terms and Conditions, your use of the website or the Payment Service shall be deemed to have arisen from a transaction of business in the State of New York.

Amendments:  We may amend these Terms and Conditions from time to time. In such event, we will post the amended terms on the website. If you use the website after we post such a change on our website, it will constitute your agreement to the revised terms. You should terminate use of our website if you do not agree with any such amendment.

Termination:  We may suspend or terminate your use of the website at any time, without notice, for any reason. Except as warranted by risk to the security, privacy, or integrity of the website and the payments processed by us, we will attempt to provide you with prior notice of the suspension or termination by sending you an email, but we are not obligated to do so. You shall remain liable for all transactions you initiated through the Payment Service, and the payment of all amounts you owe prior to termination or discontinuance of your use of the Payment Service. You agree to pay all costs and expenses that we may incur in order to collect any amounts you owe under these Terms and Conditions.

Miscellaneous:  These Terms and Conditions constitute the full agreement between you and us related to the use of this website. If any provision of these Terms and Conditions is held invalid or unenforceable, all other provisions will remain in full force and effect. We may choose not to exercise or to delay enforcement of any of our rights under these Terms and Conditions without losing them.
